CONTRACTS + AGREEMENTS

Consortium agreements, research centre agreements, ARC Centre of Excellence agreements, clinical trial agreements, establishment of data registries, SaaS/PaaS, software licences, intellectual property licences, technology trial agreements and so on.

REGULATORY + COMPLIANCE

Advising on regulatory, compliance and ethical issues impacting on research projects.

DUE DILIGENCE

Due diligence of IP assets including in relation to freedom to operate and commercialisation of IP.

RECENT EXPERIENCE INCLUDES

  • Drafting agreements to establish large consortia (over 20 participants), including research hubs funded by the Australian Government.
  • Advising, structuring and drafting participants and project agreements for a University to establish a program funded by the Commonwealth under the Trailblazer University Program.
  • Advising on and drafting research Centre agreements, including ARC Centres of Excellence.
  • Advising on and drafting a number of agreements for licensing and access to online software programs including drafting subscription agreements, software as a service/platform as a service, end user agreements and exclusive access agreements.
  • Reviewing, drafting, and advising on a student IP policy for a research institute; drafting records/data management policy and privacy policy for a research company.
  • Drafting and advising on suite of template agreements for research, consultancy and related agreements for a Qld university.
  • Drafting and negotiating a number of clinical trial agreements.
  • Agreements to establish, manage and host data registries.
  • Acting for a number of universities on various research agreements in respect of projects funded by Meat and Livestock Australia, the ARC, NHMRC and various State Government departments.
  • Drafting template material transfer agreements and data transfer agreements for a public hospital.
  • Acting for a public hospital as licensor of a patent to a medical device manufacturer and distributor.
  • Acting for a university on a government funded project involving gene editing and commercial licences to project outcomes concerned with plant breeder’s rights.
